Terms of Service / Professional Agreement

The following terms and conditions govern all use of the Psychology Network website and all content, services and products available at or through the website (taken together, the Website). The Website is owned and operated by Psychology Network (“Psychology Network”). The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Psychology Network’s Privacy Policy, and Cookie Policy and applicable terms of use of our services) and procedures that may be published from time to time on this Site by Psychology Network (collectively, the “Agreement”). Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by Psychology Network, acceptance is expressly limited to these terms. The Website is available only to individuals who are at least 18 years old, or that you are 13 years or older, and you have the consent of a parent or legal guardian.
You agree that by clicking “Sign Up”, “Join Psychology Network”, “Join Now” or similar, registering, accessing or using our services, you are agreeing to enter into a legally binding contract with Psychology Network (even if you are using our Services on behalf of a company). If you do not agree to this contract (“Contract” or “User Agreement”), do not click “Sign Up” (or similar) and do not access or otherwise use any of our Services.


This Contract applies to Psychology Network.net, Psychology Network-branded apps, Psychology Network Professional Services, Psychology Network Blogs and Professional Directories and other Psychology Network-related sites, apps, communications and other services that state that they are offered under this Contract (“Services”), including the offsite collection of data for those Services, such as our ads and the “Apply with Psychology Network” and “Share with Psychology Network” plugins. Registered users of our Services are “Members” or ‘Clients’ and unregistered users are “Visitors”. This Contract applies to both.
Psychology Network
You are entering into this Contract with Psychology Network (also referred to as “we” and “us”), and your personal data provided to, or collected by or for, our Services are controlled by Psychology Network.

Members and Visitors:

When you register and join the Psychology Network Service, you become a Member or client. If you have chosen not to register for our Services, you may access certain features as a visitor.


Psychology Network reserves the right, at its sole discretion, to modify or replace any part of this Agreement from time to time. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. If we make material changes to it, we will provide you notice through our Services, or by other means,
to provide you the opportunity to review the changes before they become effective. If you object to any changes, you may close your account. Psychology Network may also, in the future, offer new services and/or features
through the Website/platform (including, the release of new service and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms.

Service Eligibility:

The Services are not for use by anyone under the age of 18, or that you are 13 years or older, and you have the consent of a parent or legal guardian.
To use the Services, you agree that: (1) you must be the “Minimum Age” (described below) or older; (2) you will only have one Psychology Network account (and/or one Service or Directory account, if applicable), which must be in your real name; and (3) you are not already restricted by Psychology Network from using the Services. You’re eligible to enter into this Contract and you are at least our “Minimum Age.”]

Your Account:

Your Psychology Network Account and Site.
If you create an account on the Website, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. You must immediately notify Psychology Network of any unauthorized uses of your account or any other breaches of security. Psychology Network will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
You agree to: (1) try to choose a strong and secure password; (2) keep your password secure and confidential; (3) not transfer any part of your account (e.g., connections) and (4) follow the applicable community guidelines and laws of best practices list. You are responsible for anything that happens through your account unless you close it or report misuse.
As between you and others (including your employer), your account belongs to you. However, if the Services were purchased by another party for you to use the party paying for such Service has the right to control access to and get reports on your use of such paid Service; however, they do not have rights to your personal account.


If you buy any of our paid Services (“Premium Services”), you agree to pay us the applicable fees and taxes and to additional terms specific to the paid Services. Failure to pay these fees will result in the termination of your paid Services. Also, you agree that:
* Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).
* We may store and continue billing your payment method (e.g. credit card) even after it has expired, to avoid interruptions in your Services and to use to pay other Services you may buy.
* If you purchase a subscription, your payment method automatically will be charged at the start of each subscription period for the fees and taxes applicable to that period. To avoid future charges, cancel before the renewal date.
* All of your purchases of Services are subject to Psychology Network’s refund policy.
* We may calculate taxes payable by you based on the billing information that you provide to us at the time of purchase.
* You’ll honor your payment obligations and you are okay with us storing your payment information.
* We don’t guarantee refunds.

Notices and Service Messages
* You agree that we will provide notices or messages to you through our websites, apps, and contact information your provided to us
* You agree to keep your contact information up to date.
* You may limit the messages you receive from us.


When you share information, others can see, copy and use that information.
Our Services allow messaging and sharing of information in many ways, such as your profile, content, links to news articles, job postings, InMails and blogs. Information and content that you share or post may be seen by other Members or Visitors. Where we have made settings available, we will honor the choices you make about who can see content or information (e.g., message content to your addressees, sharing content only to Psychology Network connections, restricting your profile visibility from search engines, or opting not to notify others of your Psychology Network profile update).
For job searching activities, we default to not notifying your connections network or the public. So if you apply for a job through our Service or opt to signal that you are interested in a job, our default is to share it only with the job poster.
We are not obligated to publish any information or content on our Service and can remove it in our sole discretion, with or without notice.

Your Rights and License to Psychology Network:

As between you and Psychology Network, you own the content and information that you submit or post to the Services and you are granting Psychology Network and our affiliates the following non-exclusive license: A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Services, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways:
You can end this license for specific content by deleting such content from the Services, or generally by closing your account, except (a) to the extent you shared it with others as part of the Service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.
We will get your consent if we want to give third parties the right to publish your content beyond the Service. However, other Members and/or Visitors may access and share your content and information, consistent with your choices.
While we may edit and make formatting changes to your content (such as translating it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression.
You agree that we may access, store and use any information that you provide in accordance with the terms of the Privacy Policy and your choices (including settings).
By submitting suggestions or other feedback regarding our Services to Psychology Network, you agree that Psychology Network can use and share (but does not have to) such feedback for any purpose without compensation to you.
You agree to only provide content or information that does not violate the law nor anyone’s rights (including intellectual property rights). You also agree that your profile information will be truthful. Psychology Network may be required by law to remove certain information or content in certain countries.
You promise to only provide information and content that you have the right to share, and if applicable that your Psychology Network profile, Directory profile, Services, products and content information will be truthful.


Psychology Network reserves the right to display advertisements on our website pages, and all relevant services to ensure members get maximum exposure from visitors, and clients/end users.We will not include your content in advertisements for the products and services of third parties to others without your separate consent (including sponsored content). However, we have the right, without payment to you or others, to serve ads near your content and information, to serve member services, products as ads and links to said member services, and/or products.

Partner Products:

We reserve the right to advertise or promote a partner product from one of our partners, and you agree to that partner’s terms of service. You can opt out of their terms of service at any time, subject to their terms and conditions.

Service Availability:

We may change, discontinue or end any of our Services on the entire platform. We don’t promise to store or keep showing any information and content that you’ve posted. Psychology Network is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy. You agree that we may change and modify prices prospectively in our discretion.
Responsibility of Website Visitors
Psychology Network has not reviewed, and cannot review, all of the material, including computer software, posted to the Website, and cannot therefore be responsible for that material’s content, use or effects. By operating the Website, Psychology Network does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content.
The Website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Website may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. Psychology Network disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.


Content Posted on Other Websites and Apps
We have not reviewed, and cannot review, all of the material, including computer software, made available through the websites and webpages to which Psychology Network links, and that link to Psychology Network. Psychology Network does not have any control over those non-Psychology Network websites and webpages, and is not responsible for their contents or their use. By linking to a non-Psychology Network website or webpage, Psychology Network does not represent or imply that it endorses such website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Psychology Network disclaims any responsibility for any harm resulting from your use of non-Psychology Network websites and webpages.
By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. Psychology Network generally does not review content provided by our Members or others. You agree that we are not responsible for others’ (including other Members’) content or information. We cannot always prevent this misuse of our services, and you agree that we are not responsible for any such misuse. You also acknowledge the risk that you or your organization may be mistakenly associated with content about others when we let connections and followers know you or your organization were mentioned in the news. You may opt out of this feature.
You are responsible for deciding if you want to access or use third party apps or sites that link from our Services. If you allow a third party app or site to authenticate you or connect with your Psychology Network account, that app or site can access information on Psychology Network related to you and your connections. Third party apps and sites have their own legal terms and privacy policies, and you may be giving others permission to use your information in ways we would not. Except to the limited extent it may be required by applicable law, Psychology Network is not responsible for these other sites and apps – use these at your own risk. Please see our Privacy Policy.

Hyperlinking to our Content:

You may link to our home page, to publications or to other Web site information so long as the link: (a) is not in any way misleading; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products or services; and (c) fits within the context of the linking party’s site.
We may consider and approve in our sole discretion other link requests from websites, institutions or organizations. We will approve link requests from these organizations if we determine that: (a) the link would not reflect unfavorably on us or our accredited businesses (for example, trade associations or other organizations representing inherently suspect types of business, such as work-at-home opportunities, shall not be allowed to link); (b)the organization does not have an unsatisfactory record with us; (c) the benefit to us from the visibility associated with the hyperlink outweighs the absence of ; and (d) where the link is in the context of general resource information or is otherwise consistent with editorial content in a newsletter or similar product furthering the mission of the organization.

Approved organizations may hyperlink to our platform as follows:
* By use of our corporate name; or
* By use of the uniform resource locator (Web address) being linked to; or
* By use of any other description of our Web site or material being linked to that makes sense within the context and format of content on the linking party’s site.
No use of Psychology Network’s logo or other artwork will be allowed for linking absent a trademark license agreement.

Without prior approval and express written permission, you may not create frames around our Web pages or use other techniques that alter in any way the visual presentation or appearance of our Web site.

Reservation of Rights:

We reserve the right at any time and in its sole discretion to request that you remove all links or any particular link to our Web site. You agree to immediately remove all links to our Web site upon such request. We also reserve the right to amend these terms and conditions and its linking policy at any time. By continuing to link to our Web site, you agree to be bound to and abide by these linking terms and conditions.

Removal of links from our website
If you find any link on our Web site or any linked web site objectionable for any reason, you may contact us about this. We will consider requests to remove links but will have no obligation to do so or to respond directly to you. Whilst we endeavour to ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we commit to ensuring that the website remains available or that the material on the website is kept up to date.

Content Liability:

We shall have no responsibility or liability for any content appearing on your Web site. You agree to indemnify and defend us against all claims arising out of or based upon your Website. The information in our directories is provided exclusively by participating professionals. By listing Professionals in our Directories, it means we have made good faith and reasonable efforts to verify the following and have found no contrary information:
The name and contact details provided by the professional.
That the professional’s license, if applicable, is valid within the jurisdiction in which he or she practices.
That the professional is not subject to any license strictures preventing practice.

Listed Professionals
The Platform may be used to connect you with a Professional who will provide services to you through the Platform or via their own platforms.
We require every Professional providing Services on the Platform to be an accredited, trained, and experienced, with applicable recognized professional certification based on their state and/or jurisdiction. Professionals have to be qualified and certified by their respective professional board after successfully completing the necessary education, exams, training and practice requirements as applicable.
These Professionals are independent providers who are neither our employees nor agents nor representatives. The Platform’s role is limited to enabling professional therapeutic Services or otherwise expressed, while the Professional Services offered are the responsibility of the Professional who provides them.
While we hope Professional Services are beneficial to you, you understand, agree and acknowledge that they may not be the appropriate solution for everyone’s needs and that they may not be appropriate for every particular situation and/or may not be a complete substitute for a face-to-face examination and/or care in every particular situation.

Copyright Infringement and DMCA Policy:

As Psychology Network asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by Psychology Network violates your copyright, you are encouraged to notify Psychology Network in accordance with Psychology Network’s Digital Millennium Copyright Act (“DMCA”) Policy. Psychology Network will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. Psychology Network will terminate a visitor’s access to and use of the Website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Psychology Network or others. In the case of such termination, Psychology Network will have no obligation to provide a refund of any amounts previously paid to Psychology Network.

Intellectual Property:

Psychology Network reserves all of its intellectual property rights in the Services. Using the Services does not give you any ownership in our Services or the content or information made available through our Services.
This Agreement does not transfer from Psychology Network to you any Psychology Network or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Psychology Network. Psychology Network, Psychology Network services, the Psychology Network logo, and all other trademarks, service marks, graphics and logos used in connection with Psychology Network, or the Website, are trademarks or registered trademarks of Psychology Network or Psychology Network’s licensors. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any Psychology Network or third-party trademarks.

Membership and Services:

We offer as part of our membership paid subscription, as a service to our professionals and a service for our client end-users/clients. This includes content creators creating articles, videos and podcasts as self help resources published on our platform and all social media platforms for our end users to consume and at the same time to connect with our Professional for their services via our online Professional Directories.
This is a paid monthly subscription service for our Professionals presented as a Premium and Gold Membership.

Conditions of Premium and Gold Membership
* You pay on a monthly billing cycle to be listed
* Your selection includes, being listed in one Professional Directory or our Premium Membership
* Or you select to be listed in all of our Professional Directories as our Gold Membership
* You get all the benefits of being promoted on our online channels and blogs/subsites via internal and external links.
* As a Content Creator and Professional who opt to create content, have their links to their profile, services and products advertised in articles, videos and podcasts.
* You have a profile created in these online directories and will exist for as long as your monthly subscription is valid. If you cancel your subscription your account will be closed and all your information including links form content and services will be removed from all our subsites and directories.

You get additional free access to Services we provide to our Professionals and includes being able to:
* List your product in our online shop
* List a book/Ebook/audiobook at our online Bookstore
* List a training course
* Upload video content to teach a training course
* Submit your article or research paper for submission to our online Journal
* Create content for our Psychology Knowledgebase
* Add your events to our online portal

We may at our discretion remove all these contributions if you cancel your subscription with us. We also reserve the right to keep content you created and/or uploaded on our servers and websites, and this could be due to the detriment it may cause our platform functions, Detrimentally affecting our SEO ranking, the difficulty to remove said links and you acknowledge that we will in no way be held responsible for any loss whatsoever these actions may bring about.
As a member you agree upon taking membership to adhere to the terms of use available in each of the Services and Directories on our platform, in conjunction with this document. This includes:
* Keeping your account in good standing
* Ensuring you create a full profile
* That you provide accurate information
* You list for qualifications and expertise you have legally achieved
* Your listing is relevant for the Professional Directory you apply to
* You adhere to the required professional standards

You acknowledge that our Directories are merely a bridge or portal to display your services and for end-users/clients to find you and your services. Links to your services is displayed and end-users/clients will access your services externally to your website/platforms. We do not share any accountability for the level, type of and quality of said services.
We are not to be held responsible for payments, cancellations, refunds, or complaints from end-users/clients. You remain responsible for these.
You undertake to deliver a professional standard of service to all end-users/clients in keeping with ethical guidance and standards from your professions governing body, and you undertake to keep in good stead the ethos and good name of the Psychology Network.
You agree that your service delivery and practise in no way reflect those of the Psychology Network and we shall not be held responsible when any dispute, allegation or discrepancy are levied against you, your practice or your services.
We merely provide you with a means to introduce our end-users/clients to your services. Their choice in selecting your services and accepting your services is a private agreement between themselves and you.

Our Professional Services:

We offer our Members with a free or paid subscription account a range of services they can access to help promote their services or practice.

This includes:
* List your product in our online shop
* List a book/Ebook/audiobook at our online Bookstore
* List a training course
* Upload video content to teach a training course
* Submit your article or research paper for submission to our online Journal
* Create content for our Psychology Knowledgebase
* Add your events to our online portal

You agree that the services we provide you with a free account shall in no way be used or abused in a way that is inconsistent with this agreement or our values, goals and mission. If in any event you are found to be in transgressions of this your account will be cancelled immediately without prejudice.

These services include:

Listing a Book | Product or | Training Course
You acknowledge that you shall only list books/ebooks/audiobooks or product that is your rightful property and that you have full authorship/ownership of said product.
No product with affiliate links or compensation you receive to promote a product, book/ebook/audiobook or course shall be allowed to be listed on our platform or servers
We only provide a platform to showcase or list your product, book/ebook/audiobook or course and we allow and provide an external link where these product, book/ebook/audiobook or course can be purchased. We shall in no way be held responsible for any sales, shipping, refunds, correspondence with customers or deal with customer services. This is your responsibility or the platform said products or goods are sold at. You agree that we will not be held responsible in any dispute or enquiry arising and you take full responsibility for resolving all issues.
We reserve the right to refuse any product, book/ebook/audiobook or course to be listed on our platform or server.
We reserve the right to remove any product, book/ebook/audiobook or course if any complaint or abuse of our systems is discovered or we are being made aware of it. This may also result in your membership of the Psychology Network revoked.

Listing an Event
You agree that we merely provide a portal to showcase and present your events, and we have no obligation to do so. It is a complementary service only and at our discretion.
You agree to provide us with relevant, accurate and timely information and we are in no way responsible for its accuracy.
We do not take responsibility for bookings or payments on our platform, though we reserve the right to decide if this is appropriate and in what circumstances.
We are not responsible for inaccuracies or miscommunication of the accuracy of information about the event and we reserve the right not to entertain any disputes.
We reserve the right to refuse any information or event without prejudice, without the need to justify our decision. We are not obliged to accept or host/showcase any event which does not adhere to our terms, values, aims and goals. You acknowledge this right.

Submission Limitations
You acknowledge that we reserve the right exclusively to limit products, books/ebooks/audiobooks or courses you wish to promote on our platform. We do consider all our Professionals and equality of our services to our members is paramount. If we determine our system is being abused or taken advantage of to the detriment of other members you agree that you may not have your product, book/ebook/audiobook or course listed or these removed, and you will have no recourse to our refusal to list these. You also acknowledge that your product, book/ebook/audiobook or course will immediately be removed, your account terminated if any dishonesty, ill intent and abuse becomes evident.
As a free service we seek to keep our practice transparent to the good of all members and we expect the same in Professional reciprocity.

Content Contributors:

Psychology Network offers selected Authors/Writers to enjoy Premium membership benefits in exchange for creating content for our service, and blogs, which constitute a legally binding contract and as a content creator you agree to the following:
Psychology Network reserves the right not to accept or publish content you create or Psychology Network may request that you modify such content for publication.
Our Content Creators/bloggers who post articles to our Site are not employed by psychology Network. Each Creator is solely responsible for the content of his or her /content/articles. We do not undertake responsibility for screening or monitoring all our creators’ materials. The opinions expressed by our creators are their own and are not our opinions or endorsed by us.
We do not endorse, and nothing on the Site shall be deemed to be an endorsement, representation or warranty of, any third party (including our directory members, users and content creators), whether in relation to such third party’s products, services, websites, experience or background or otherwise. We do not make any representations or warranties with regard to any materials posted by our users, directory members or content creators.

You grant us permission to adapt, adjust, modify and repurpose any content you create to fit in with Psychology Network purpose and aims.
We reserve the right to publish or unpublish content you create in any way applicable for Psychology Network to various electronic media platforms, social media platforms, print media and/or republish this content with no time period restrictions for educational, therapeutic and entertainment purposes.
We reserve the right to create and repurpose or package content you create for marketing Psychology Network services and promotion of your portfolio and services.
We reserve the use of the content you create to market to our end users in search of member services and expertise both in therapeutic and academic ways to generate income for Psychology Network and to popularise your services and business, to build your online presence and generate income of those services.
Psychology Network has a duty of care for its end users to be educated and informed through exposure to content you create and therefore reserve the right to ensure that content meet that expectation for those end users.
Psychology Network further endeavor to ensure your services are marketed and promoted for maximum exposure to our end users, and our end users may contact our professional members for additional services and support.
You undertake to create content on a regular monthly basis without fail, including One written Article [specifications as determined by Psychology Network], One Video and One Podcast.
This constitutes an unbroken period of content creation from signing up to termination of your account at Psychology Network. Psychology Network undertake to provide you with all the resources your require to make producing your content as easy and simple as possible.

This includes
1. You will have access to our exclusive and private Online Recording application to record your videos and podcasts.

If your service includes access to email support. “Email support” means the ability to make requests for technical support assistance by email at any time (with reasonable efforts by Psychology Network to respond within one business day) concerning the use of our Services. All support will be provided at our Helpcenter and in accordance with Psychology Network standard services practices, procedures and policies.


Both you and Psychology Network may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services.
Psychology Network may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Psychology Network account (if you have one), you may simply discontinue using the Website.
Notwithstanding the foregoing, if you have a paid services account, such account can only be terminated by Psychology Network if you materially breach this Agreement and fail to cure such breach within thirty (30) days from Psychology Network’s notice to you thereof; provided that, Psychology Network can terminate the Website immediately as part of a general shut down of our service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. Any amounts owed by either party prior to termination remain owed after termination.

Disclaimer of Warranties:

The Website is provided “as is”. Psychology Network and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Psychology Network nor its suppliers and licensors, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk.

Limitation of Liability:

In no event will Psychology Network, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Psychology Network under this agreement during the twelve (12) month period prior to the cause of action.
Psychology Network shall not be laible to you or others for any indirect, incidental ,special, consequentia or punitive damages, or any loss of data, opportunities, Reputation, Profits or Revenues, related to the services (e.g. Offensive or Defamatory statements, down time or loss, use of, or chances to, your information or content).
Psychology Network shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.
This limitation of liability is part of the basis of the bargain between you and Psychology Network and shall apply to all claims of liability (e.g. Warranty, Tort, Negligence, Contract, Law) and even if Psychology Network or its affiliates has been told of the possibility of any such damage, and even if these remedies fail their essential purpose.
We and you are independent contractors of each other. Neither party shall be deemed in default for failure to comply with any provision hereof, if such failure results from acts or events beyond its reasonable control, other than payment of money. If any provision of these Terms of Use is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. No waiver of any provision of these Terms of Use shall be deemed a further or continuing waiver of such provision or any other provision. All provisions of these Terms of Use, except provisions that grant you access to or use of the Site, shall survive the termination of the agreement between us and you. Psychology Network reserves the right to restrict, suspend, or terminate your account if Psychology Network believes that you may be in breach of this Contract or law or are misusing the Services.


You agree to indemnify and hold harmless Psychology Network, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.

Miscellaneous and Dispute Resolution:

This Agreement constitutes the entire agreement between Psychology Network and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Psychology Network, or by the posting by Psychology Network of a revised version.
Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Website will be governed by the laws of the UK, excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the determined courts located within the UK. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. (“JAMS”) by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in the UK, in the English language and the arbitral decision may be enforced in any court.
The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys’ fees. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. Psychology Network may assign its rights under this Agreement without condition.
This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

General Terms:

If a court with authority over this Contract finds any part of it not enforceable, you and us agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and us agree to ask the court to remove that unenforceable part and still enforce the rest of this Contract. To the extent allowed by law, the English language version of this Contract is binding and other translations are for convenience only. This Contract (including additional terms that may be provided by us when you engage with a feature of the Services) is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.
If we don’t act to enforce a breach of this Contract, that does not mean that Psychology Network has waived its right to enforce this Contract. You may not assign or transfer this Contract (or your membership or use of Services) to anyone without our consent. However, you agree that Psychology Network may assign this Contract to its affiliates or a party that buys it without your consent. There are no third party beneficiaries to this Contract.
We reserve the right to change the terms of this Contract and will provide you notice if we do and we agree that changes cannot be retroactive. If you don’t agree to these changes, you must stop using the Services.
You agree that the only way to provide us legal notice is at the contact information provided.

You agree that you will:

* Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
* Provide accurate information to us and keep it updated;
* Use your real name on your profile;
* Use the Services in a professional manner.

You agree that you will not:

* Act in an unlawful or unprofessional manner in connection with our Services, including being dishonest, abusive or discriminatory;

* Use an image that is not your likeness or a head-shot photo for your profile;

* Misrepresent your identity (e.g. by using a pseudonym), your current or previous positions, qualifications or affiliations with a person or entity;
* Create a Member profile for anyone other than yourself (a real person);
* Invite people you do not know to join your network;
* Use or attempt to use another’s account;
* Harass, abuse or harm another person;
* Send or post any unsolicited or unauthorized advertising, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any form of solicitation unauthorized by Psychology Network;
* Develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology or manual work) to scrape the Services or otherwise copy profiles and other data from the Services;
* Bypass or circumvent any access controls or Service use limits (such as caps on keyword searches);
* Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of Psychology Network;
* Solicit email addresses or other personal information from Members you don’t know, without authorization.
* Use, disclose or distribute any data obtained in violation of this policy;
* Disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer));
* Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets, or other proprietary rights. For example, do not copy or distribute (except through the available sharing functionality) the posts or other content of others without their permission, which they may give by posting under a Creative Commons license;
* Violate the intellectual property or other rights of Psychology Network, including, without limitation, (i) copying or distributing our learning videos or other materials or (ii) copying or distributing our technology, unless it is released under open source licenses; (iii) using the word “Psychology Network” or our logos in any business name, email, or URL except as provided in the Brand Guidelines;
* Use Psychology Network invitations to send messages to people who don’t know you or who are unlikely to recognize you as a known contact;
* Post anything that contains software viruses, worms, or any other harmful code;
* Manipulate identifiers in order to disguise the origin of any message or post transmitted through the Services.
* Create profiles or provide content that promotes escort services or prostitution.
* Create or operate a pyramid scheme, fraud or other similar practice;
* Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source;
* Imply or state that you are affiliated with or endorsed by Psychology Network without our express consent (e.g., representing yourself as an accredited Psychology Network trainer od official);
* Rent, lease, loan, trade, sell/re-sell access to the Services or related data;

* Remove any copyright, trademark or other proprietary rights notices contained in or on our Service;
* Remove, cover or obscure any advertisement included on the Services;
* Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;
* Monitor the Services’ availability, performance or functionality for any competitive purpose;
* Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services;
* Overlaying or otherwise modifying the Services or their appearance;
